Independent Contractor Agreement

This Independent Contractor Agreement ("Agreement") is entered into between:

Company: Hyper Clean Texas LLC, a Texas limited liability company ("Company")

Contractor: The individual accepting this Agreement ("Contractor")

1. Independent Contractor Status

1.1 Contractor is an independent contractor and not an employee, worker, agent, joint venturer, partner, or franchisee of Company for any purpose. Nothing in this Agreement shall be construed to create an employment relationship, partnership, or joint venture.

3.3 Contractor shall provide their own cleaning supplies and equipment.

4. Scheduling and Availability

4.1 Contractor has the right to accept or decline any job offered.

4.2 Contractor sets their own availability schedule.

4.3 Once a job is accepted, Contractor agrees to complete it as scheduled or provide at least 24 hours notice of cancellation.

5. Compensation

5.1 Contractor shall be compensated per job at rates shown in job offers. Base rates vary by service type and are disclosed prior to acceptance.

5.2 Payment via Stripe Connect with same-day or next-day deposit after job completion verification.

5.3 Stripe collects tax information (SSN/EIN) during setup and handles 1099 filing.

5.4 Tips from customers are retained 100% by Contractor. Company does not take any portion of tips.

6. Platform Exclusivity and Non-Solicitation

6.1 For customers that Company introduces to Contractor, Contractor agrees to provide services exclusively through Company's booking and payment system. Contractor shall not arrange, solicit, or accept work directly with Company-introduced customers outside the platform.

6.2 Contractor shall not exchange personal contact information (phone number, email, business name, social media, or any information that would allow a customer to reach Contractor outside the platform) with Company-introduced customers for the purpose of circumventing Company's platform. Contact information may only be exchanged as necessary to complete an assigned job (e.g., arrival coordination).

6.3 During this Agreement and for twelve (12) months following termination, Contractor agrees not to:

6.4 Violation of Sections 6.1, 6.2, or 6.3 shall result in liquidated damages of $5,000 per occurrence, which Contractor agrees is a reasonable estimate of damages and not a penalty. Company may charge Contractor's Stripe account on file for such damages.

This clause is strictly enforced.

7. Background Check

7.1 Contractor must provide a clean criminal background check from any provider, dated within the last 90 days. SentryLink is recommended if Contractor does not already have one.

7.2 Contractor must maintain clear background status throughout the term of this Agreement.

8. Photo Documentation

8.1 For the first three (3) completed jobs, Contractor is required to submit before/after photo documentation as proof of completion.

8.2 For STR turnover and move-out/move-in services, photo documentation is always required regardless of experience level.

8.3 After completing three (3) jobs with satisfactory photo documentation, photo submission for standard cleans becomes optional. A $5 bonus is paid for each voluntary photo submission on standard cleans.

9. Confidentiality

9.1 Contractor agrees to keep confidential all client information, business practices, pricing structures, contractor pay rates, and proprietary information of Company.

9.2 Contractor shall not disclose Company's pricing, commission rates, or business operations to any third party including customers, competing services, or other contractors outside the platform.

9.3 This obligation survives termination of this Agreement.

10. Quality Standards and Accountability

10.1 Contractor is personally responsible for the quality of work performed and any damage caused during service.

10.2 If a customer is dissatisfied, Company may require Contractor to perform a re-clean at no additional compensation under Company's Make-It-Right guarantee.

10.3 Repeated quality complaints (3 or more within 30 days) may result in suspension or termination from the platform.

11. Termination

11.1 Either party may terminate this Agreement at any time with written notice (text message or email is sufficient).

11.2 Upon termination, Contractor shall complete all accepted jobs or arrange coverage with Company's approval.

11.3 Termination does not release Contractor from obligations under Sections 6 (Platform Exclusivity and Non-Solicitation), 9 (Confidentiality), or 12 (Indemnification).

12. Indemnification

Contractor agrees to indemnify and hold harmless Company, its owners, officers, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorney fees) arising from Contractor's performance of services, breach of this Agreement, or any negligent or wrongful act.

13. Dispute Resolution

Disputes shall be resolved through:

  1. Good faith negotiation (30 days)
  2. Mediation (if negotiation fails)
  3. Binding arbitration under AAA rules in Houston or Dallas, Texas

Each party shall bear their own costs for arbitration unless the arbitrator determines otherwise.

14. Governing Law

This Agreement is governed by the laws of the State of Texas. Venue: Harris County (Houston) or Dallas County, Texas.

15. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, representations, and understandings. No modification shall be effective unless in writing and signed by both parties.
